VDesigns Free Site Program Terms

1. Program Purpose

VDesigns may periodically offer a limited number of complimentary website projects to qualifying small businesses through the VDesigns Free Site Program.

The Program allows VDesigns to develop, test, demonstrate, maintain, and showcase websites using real businesses while providing selected small businesses with access to a professionally designed website without an initial design or development charge.

Selection for the Program does not create an entitlement to future free services.

2. Eligibility

The Program is intended for qualifying small businesses.

For purposes of the Program, VDesigns generally considers locally owned or independently operated businesses to be small businesses. VDesigns does not use participation in the Program as a representation that a business meets any federal, state, tax, lending, regulatory, or other legal definition of a “small business.”

VDesigns determines eligibility and selects Participants at its discretion. Submitting an application, inquiry, or business information does not guarantee selection.

VDesigns may consider the type of business, project requirements, existing website, requested functionality, available content, suitability for the Program, and available Program capacity. Participation is limited and subject to availability.

3. Complimentary Website

Businesses accepted into the Program may receive a website designed and developed by VDesigns at a $0 initial design and development cost.

The complimentary offer applies only to the website work specifically included by VDesigns as part of the Program.

The Program does not automatically include unlimited revisions, additional features, integrations, domains, third-party services, substantial future modifications, or other work not expressly included by VDesigns.

4. VDesigns Ownership of the Website

Websites created through the VDesigns Free Site Program are owned by VDesigns.

Participation in the Program does not constitute a sale, assignment, or transfer of ownership of the website to the Participant.

Unless VDesigns expressly agrees otherwise in writing, VDesigns retains ownership of the website and its VDesigns-created components, including the website design, layout, source code, website files, development work, custom components, design systems, templates, VDesigns-created graphics or elements, underlying website structure, and other VDesigns-created intellectual property used to produce or operate the website.

The Participant receives permission to have the website operated for the Participant's business through the Program, subject to these Program Terms.

Participation does not provide the Participant with an automatic right to receive, download, transfer, copy, sell, license, or take possession of the website, its source code, or its underlying files.

5. Participant-Owned Content

VDesigns ownership of the website does not transfer ownership of materials independently owned by the Participant.

The Participant retains its rights in materials it owns and supplies to VDesigns, which may include its business name, business logo, trademarks, original photographs, original videos, written material, and other Participant-owned intellectual property.

The Participant grants VDesigns permission to use, reproduce, resize, edit, format, display, and publish those materials as reasonably necessary to design, operate, maintain, promote, and support the website.

The Participant represents that it owns or has appropriate permission to use materials it provides to VDesigns.

6. Project Scope

VDesigns determines the reasonable scope and structure of websites created through the Program.

VDesigns may determine the number of pages, sections, features, animations, design elements, and other components included in the complimentary build.

Requests materially outside the intended scope of the Program may be declined or offered as paid additional work.

7. Business Information

The Participant agrees to provide accurate information reasonably necessary to create and maintain the website.

This information may include the business name, contact information, services, service areas, business descriptions, logos, photographs, business hours, and other information reasonably necessary for the website.

The Participant is responsible for reviewing its business-specific information for accuracy.

8. Limited Changes and Revisions

The VDesigns Free Site Program does not include unlimited revisions or changes.

VDesigns may provide a reasonable opportunity for the Participant to identify necessary corrections and request limited adjustments during development and review.

VDesigns determines whether a requested modification is included within the Program.

Additional fees may apply to substantial design changes, repeated revisions, replacement of previously approved content, additional pages or sections, new functionality, extensive content changes, redesigns, integrations, or other work outside the complimentary project scope.

VDesigns will communicate applicable charges before performing additional paid work.

9. Corrections

If VDesigns makes an error when implementing information or functionality that was agreed upon for the complimentary project, VDesigns may correct that error without treating the correction as a paid Participant-requested revision.

Fees may apply when work is required because of incorrect or incomplete information supplied by the Participant, information that changes after implementation, new services or products, changed pricing, new locations, new employees, replacement content, changes requested after approval, or other Participant-requested modifications.

10. Review and Approval

The Participant may be provided an opportunity to review the website before public launch.

Approval indicates that the Participant has reviewed and accepted the website's design and business-specific information as presented at that time.

Changes requested after approval may constitute additional work and may be subject to fees. Approval does not transfer ownership of the website.

11. Website Maintenance

VDesigns will maintain websites participating in the Program within the scope VDesigns establishes for the Program.

Maintenance does not mean that every future modification, redesign, feature, content request, or technical service is included without charge.

Work outside the included maintenance scope may require additional payment.

12. VDesigns Branding

Websites created through the Program will include VDesigns branding or attribution.

The attribution will generally appear in the website footer or another reasonably unobtrusive location selected by VDesigns. It may include language such as “Designed by VDesigns” or similar wording and may link to the VDesigns website.

The Participant agrees that VDesigns attribution is a condition of participation. The Participant may not remove, obscure, alter, disable, or intentionally hide the attribution without written permission from VDesigns.

13. Hosting and Domain Services

Hosting, domain registration, renewal, and related services are governed by the specific arrangement communicated to the Participant.

The complimentary website build does not automatically mean that every third-party expense associated with operating the website is provided free of charge indefinitely.

Any applicable domain, third-party service, premium functionality, or other charge will be disclosed before the Participant is required to purchase it.

VDesigns' ownership of the website is separate from ownership of a domain name. Domain ownership will depend upon the applicable domain registration arrangement.

14. No Transfer of Website

Because websites provided through the VDesigns Free Site Program remain owned by VDesigns, Participants do not have an automatic right to transfer the website to another hosting company, developer, platform, or service provider.

If a Participant wishes to obtain ownership of or transfer rights to a website created through the Program, VDesigns may, but is not required to, offer a separate purchase or transfer arrangement.

Any such transfer must be expressly agreed to in writing and may require payment. Absent a separate written agreement, the website remains the property of VDesigns.

15. Portfolio and Promotional Use

By participating in the Program, the Participant permits VDesigns to identify the public-facing website as an example of VDesigns' work.

VDesigns may display or reference the Participant's business name, website, screenshots, public-facing website design, and publicly available portions of the project in portfolios, demonstrations, social media, advertising, case studies, and other promotional materials.

This provision does not authorize VDesigns to disclose confidential Participant information.

16. Participant's Business

The Participant remains solely responsible for its business operations, products, services, representations, licenses, pricing, customer relationships, and legal obligations.

VDesigns' ownership or maintenance of the website does not make VDesigns an owner, operator, partner, employee, or agent of the Participant's business.

17. No Guaranteed Business Results

VDesigns does not guarantee that a website provided through the Program will produce any particular search-engine ranking, website traffic, leads, customers, sales, revenue, or other business result.

18. Program Duration

The VDesigns Free Site Program does not currently have a guaranteed duration or guaranteed availability period.

VDesigns may limit the number of Participants and may close the Program to new applications once available positions have been filled.

Participation does not guarantee that the Program, website operation, maintenance, or complimentary services will continue indefinitely.

19. Ending Participation

A Participant may request to end its participation in the Program.

Because the website remains owned by VDesigns, ending participation does not automatically entitle the Participant to receive the website, source code, website files, or a transferable copy of the website. The Participant retains ownership of Participant-owned content as described in these Program Terms.

VDesigns may discontinue a Participant's involvement when reasonably necessary because the Participant violates these Program Terms, fails to provide information reasonably necessary to maintain the website, repeatedly requests work outside the Program scope, engages in fraudulent or abusive conduct, requests unlawful content or use, misuses VDesigns services, or otherwise makes continued participation impracticable.

20. Changes to the Program

VDesigns may modify, suspend, or discontinue the VDesigns Free Site Program for future Participants.

VDesigns may also modify the scope of complimentary maintenance or services prospectively. Where appropriate, VDesigns will communicate material changes affecting an existing Participant.

21. No Cash Value

Participation in the Program and the complimentary website have no cash value.

The offer cannot be exchanged for cash, transferred, resold, or credited toward unrelated services unless VDesigns expressly agrees otherwise.

22. Relationship to VDesigns Terms of Service

These Program Terms supplement the VDesigns Terms of Service and Privacy Policy.

If these Program Terms conflict with the general Terms of Service regarding ownership, price, or scope of a website specifically provided through the VDesigns Free Site Program, these Program Terms control for that website.

All other applicable VDesigns terms and policies remain in effect.

23. Electronic Acceptance

VDesigns may require electronic acceptance of these Program Terms before beginning work.

VDesigns may maintain records showing the participating business, person accepting the Program Terms, date and time of acceptance, and version of the Program Terms accepted.
